Terms of Service

1. Acceptance of Terms

By accessing or using the IAM Studio platform ("Service"), including the web application, native iOS/iPadOS application, or any other authorized client, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you may not access or use the Service.

These Terms constitute a legally binding agreement between you (the "User") and/or the organization you represent (the "Organization"), and IAM Studio.

2. Description of Service

IAM Studio is a comprehensive enterprise platform for project management, team collaboration, and communication designed for professional organizations. Features include, but are not limited to:

• Project management, task tracking, and delivery milestones with progress monitoring
• Real-time communication (chat, video calls, integrated email)
• Team management, roles, and permissions (RBAC)
• Client portal for external progress tracking
• Financial modules, calendars, and collaborative whiteboards
• AI-powered assistant
• File and document storage

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We shall not be liable for any modification, suspension, or discontinuance of the Service.

3. User Accounts and Authentication

To access the Service, you must create an account. You may register using your email address or through third-party authentication providers, including:

• Google OAuth: You may sign in with your Google account. When you authenticate via Google, we access only the information permitted by the scopes you authorize (typically your name, email address, and profile picture). Our use of information received from Google APIs adheres to the Google API Services User Data Policy, including the Limited Use requirements.
• Microsoft / Azure AD OAuth: You may sign in with your Microsoft account. Our use of information received from Microsoft APIs adheres to the Microsoft Identity Platform Terms of Use.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Organization administrators ("Owners") are responsible for managing users, roles, and permissions within their organizational space. IAM Studio is not responsible for access configurations established by administrators.

4. Acceptable Use

You agree NOT to use IAM Studio to:

• Engage in any activity that violates applicable local, national, or international laws or regulations.
• Transmit harmful, offensive, fraudulent, or rights-infringing material.
• Attempt to gain unauthorized access to systems, accounts, or data of other users or organizations.
• Reverse engineer, decompile, or disassemble the software.
• Automate access or extract data from the Service without authorization (scraping).
• Interfere with the infrastructure or performance of the Service.
• Impersonate identities or falsify information.
• Introduce viruses, trojan horses, worms, or other malicious material.

Violation of these policies may result in immediate suspension or termination of your account, at IAM Studio's discretion.

5. Intellectual Property

The Service and its original content, features, and functionality (including but not limited to software, code, design, text, graphics, and logos) are the exclusive property of IAM Studio and are protected by international intellectual property laws. No rights or licenses to IAM Studio's intellectual property are granted except the limited license to use the Service under these Terms.

6. User Data Ownership

• IAM Studio does not claim ownership of user-generated content.
• You grant IAM Studio a limited, non-exclusive license to store, process, and transmit your content solely for the purpose of providing the Service.
• You may export your data at any time in standard formats.
• Upon termination, your data will remain available for download for 30 days before permanent deletion.

7. Payment and Subscriptions

• Plans: IAM Studio offers different subscription tiers (Free, Starter, Pro, Enterprise), each with different capabilities and user seat limits.
• Billing: Subscriptions are billed monthly or annually depending on the selected plan. Paddle handles billing, tax calculations (VAT/sales tax), and receipts.
• Renewal: Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date.
• Cancellation: You may cancel your subscription at any time from the web administration panel. Cancellation takes effect at the end of the current billing period; no prorated refunds are issued.
• Plan Changes: Upgrades are applied immediately with proration. Downgrades take effect at the start of the next billing period.

8. Data Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information, including data obtained through third-party OAuth providers. By using the Service, you consent to the collection and use of information as described in our Privacy Policy.

We are committed to protecting your data in compliance with the General Data Protection Regulation (GDPR), the California Consumer Privacy Act (CCPA/CPRA), and other applicable data protection laws. We implement industry-standard security measures aligned with SOC 2 Type II standards.

9. Service Availability and Support

• Availability: IAM Studio strives to maintain 99.9% availability. However, we do not guarantee uninterrupted service. Planned maintenance interruptions may occur.
• Support: Technical support is available according to your Organization's subscription level. Enterprise plans include priority support.

10. Limitation of Liability

IAM Studio's total liability to you shall not exceed the total amount paid by your Organization during the twelve (12) months preceding the event giving rise to the claim, or one hundred dollars ($100), whichever is greater.

11. Indemnification

You agree to indemnify and hold harmless IAM Studio, its directors, employees, and agents from any claims, damages, losses, or expenses (including attorney fees) arising from: (a) your use of the Service; (b) your violation of these Terms; or (c) your violation of any rights of a third party.

12. Termination

• By the User: You may cancel your account at any time from the platform settings or by contacting your organization's administrator.
• By IAM Studio: We reserve the right to suspend or terminate accounts that violate these Terms, with prior notification when reasonably possible.
• Effects: Upon termination, you will lose access to the Service. Data will remain available for download for 30 days.

13. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated at least 30 days in advance through the platform and/or email. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with applicable laws. For disputes that cannot be resolved amicably, the parties shall submit to the jurisdiction of the competent courts.

15. General Provisions

• Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between the parties.
• Severability: If any provision of these Terms is found invalid, the remaining provisions shall remain in full force.
• Assignment: You may not assign your rights or obligations without IAM Studio's prior consent.
• Waiver: Failure to enforce any provision does not constitute a waiver of that provision.
